Notification of Managers' Transactions to the Central Bank

Article 19 of MAR requires Persons Discharging Managerial Responsibilities (‘PDMR’) within an issuer or an emission allowance market participant and any Person Closely Associated (‘PCA’) with a PDMR, to notify the issuer (or the emission allowance market participant) and the Central Bank of certain transactions conducted on their own account promptly and no later than 3 business days after the date of the transaction.

The information must be made public by the issuer (or the emission allowance market participant) promptly and no later than 3 business days after the transaction.

A threshold of EUR5,000 in value of transactions (without netting) per calendar year applies, above which all subsequent transactions must be notified to the Central Bank.

The following transactions are notifiable under Article 19 of MAR -

  • transactions in shares or debt instruments of the issuer in which the PDMR discharges managerial responsibilities or derivatives or other financial instruments linked thereto;
  • transactions in emission allowances, auction products based thereon or derivatives relating thereto.

The information, specified in the Implementing Regulation, must be sent to the Central Bank of Ireland through the Central Bank Portal.

Access to the Portal

For PDMRs

If you are a PDMR within an issuer and wish to submit a notification of a transaction, you need to register for the Portal. You must Register Here to obtain a Portal Person Code.

Please then email [email protected] with subject line marked 'PDMR - Request for Portal Access' containing the following information:

  1. Name of issuer 
  2. Name and contact details of PDMR (E-mail and telephone number)
  3. Job Title of PDMR
  4. Portal Person Code to be linked to your PDMR’s C-Code

Applications for the Portal received by the Central Bank after 3:00pm may not be processed until the following business day.

Once your registration has been confirmed, you will be issued with an e-mail with confirmation and you will also receive the PCA C-Code.

If another person for example, an administrator will carry out this function on behalf of the PDMRs, the administrator can register for the Portal to obtain their unique ‘Person Code’ and email [email protected] and cc the PDMR account holder and ask for the administrator’s Person Code to be linked to the PDMRs’ respective C-Code. Notwithstanding any such delegation, the PDMR remains legally responsible for complying with the obligations imposed by MAR, including the accuracy and timeliness of the notification and also in the event of a required notification not being made.

For Persons Closely Associated (PCA) 

If you are a PCA and wish to submit a notification of a transaction, you need to register for the Portal. You must Register Here.

Please email [email protected] with subject line marked 'PCA - Request for Portal Access Code' containing the following information:

  1. Name of issuer
  2. Name and contact details of PCA (E-mail and telephone number)
  3. Name and Job Title of PDMR with whom you are associated with
  4. Portal Person Code to be linked to your PCA’s C-Code

Applications for the Portal received by the Central Bank after 3:00pm may not be processed until the following business day.

Once your registration has been confirmed, you will be issued with an e-mail stating [ …. ] You will also receive the PCA C-Code.
