Prospectus Regulations – New Final Terms Submission Process

The Central Bank anticipates that its new Final Terms submission process will commence on 20 September 2016. Confirmation of this being the implementation date will be communicated in advance of the process going live. 

The new submission process will require the submission of Final Terms by means of a secure web based system, the Online Reporting System (ONR).

In order to submit Final Terms via ONR, log in access will be required which must be applied for in advance of the implementation date.  To apply, please provide the following information to [email protected]:

1)            Name and Address of submitting entity;

2)            Name and Job Title of Administrator User in the submitting entity i.e., person responsible for 

                managing access to the ONR in the submitting entity;

3)            Phone number and email address of Administrator User. 

The Central Bank strongly encourages submitters of Final Terms to apply for log in access to ONR at their earliest convenience. Login name and password to access ONR will be provided in due course once this information is received and is in order.

Final Terms will not be able to be submitted without access to ONR and it is therefore the responsibility of issuers to ensure that they, or their agent, can submit Final Terms via ONR to avoid the possibility of being in breach of the Prospectus Regulations. If a submitter currently has an ONR login and an Administrator User, a new login will not be required. The Central Bank should be notified of the log in details and System Administrator and it will revert with details of when the “Final Terms Return” will be deployed for access on ONR. The Central Bank wishes to thank those who have applied for access to ONR; it will shortly be in touch in this regard.

Please note that on the commencement of the new Final Terms Submission Process via ONR expected on 20 September 2016, it will no longer be possible to submit Final Terms via email.

The Central Bank's Prospectus Handbook will be updated shortly to coincide with the change to the process for submission of final terms and some other minor technical changes. 

The other minor changes include:

  • amending references to regulations 30, 31 and 33 of the Prospectus Regulation (as these regulations were deleted by the Regulatory Technical Standards 2016/301 for approval and publication of prospectuses and dissemination of advertisements and amending Commission Regulation (EC) No 809/2004 and inserting a definition of the Regulatory Technical Standards 2016/301; and
  • correcting some cross references and making other minor drafting changes.
